1. Acceptance of Terms


Izzui provides a collaborative learning environment and marketplace, available at the URL http://apps.facebook.com/izzuiapp, that are subject to the following Terms of Use. By using the Site or the Service in any way, you agree to comply with these Terms. In addition, when using particular Izzui services, you agree to abide by any applicable posted guidelines for those services, which may change from time to time. Please report any violation of these Terms to support@izzui.com.


Should you object to any term or condition of these Terms, any guidelines, or any subsequent modifications thereto or become dissatisfied with Izzui in any way, your only recourse is to immediately discontinue use of the Service. Izzui will not be held be liable for any loss or damage for non-compliance.
We are continually improving and adding to the features and functionality of our Service and the services we offer through our Service. As a result of these changes (or changes in the law), we may need to update or revise these Terms of Use. You understand and agree that you are solely responsible for reviewing these Terms from time to time. You can always review the most current version of these Terms at http://www.izzui.com/Terms or http://apps.facebook.com/izzuiapp/Home/Terms. Any continued use of the Service by you after such amended Terms have been posted or information regarding such amendment has been sent to you, shall be deemed your consent and agreement to such amended Terms.


You understand and agree that unless expressly stated, Izzui in no way controls, verifies or endorses any of the information contained on or in the Service including but not limited to courses created by you or other authors, links, messages, advertisements and reviews.


2. Registration


Registration in Izzui is made through Facebook. If you choose to register, you must agree to allow us to access your profile information through Facebook. You agree to notify Izzui immediately of any unauthorized use of your account.


Izzui reserves the right to refuse the Service or access to the Site to any User, or to delete accounts created by Users who appropriate the name, likeness, email address or other personally identifiable information of another individual.


3. Content


You understand that all courses, messages, text, files, images, photos, video, audio or other materials ("Content") posted on, transmitted through, or linked from the Site are the sole responsibility of the person or organization from whom such Content originated. You also understand that Izzui does not control and is not responsible for Content made available through the Site, and that by using the Site, you may be exposed to content that is offensive, indecent, inaccurate, misleading or otherwise objectionable.


Furthermore, the Site and Content made available through the Site may contain links to other web sites that are completely independent of Izzui. Izzui makes no representation or warranty as the accuracy, completeness or authenticity of the information contained on such web site. Under no circumstances will Izzui be liable in any way for any Content or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, linked or otherwise made available via the Site.


You understand and agree that any uploading or posting will be at your sole risk and Izzui shall not be responsible to you in any way. Further, Izzui does not provide any warranty as to your use of third-party content that you obtain from the Site.


You are also fully responsible for any Content you post on the Site and to the consequences of any such Content. You also understand and agree that Izzui, in its sole discretion, may delete any Content for any reason.

4. Fees and Services

Izzui offers a publication service for content authors to share and trade their content over Facebook.
You do not have to pay a fee to become an Izzui User and you do not have to pay a fee to sell Content on the Site. However, in case you charge for your course subscriptions, Izzui charges you a small percentage of the price in case the course is purchased by another User. All payments by Buyers and to Sellers on the Sites are done through PayPal.


If you are a Seller, you will receive the fee collected by Izzui for each sale of your Content to a Buyer. You are responsible for paying all fees and taxes, associated with your use of the Sites wherever levied.
All prices on the Sites are expressed in U.S. dollars. Payment will be made in US currency and accordance with the rules of PayPal. The Buyer is responsible for all costs of currency conversion from his or her preferred currency to the US Dollar. Where a payment is made by Izzui to a Seller, the Seller is responsible for all costs of converting the amount of the payment from US currency into his or her preferred currency.


Izzui is not accountable for charges and fees established by PayPal when buying or selling products. Please see PayPal for their taxes and fees.

5. Buying Content


When you buy Content, you acquire a license to launching and accessing the course within the Site in its full state. If you buy Content, you do so on the following Terms:

  1. you cannot cancel an order for Content once the order has been submitted;
  2. Izzui does not give any undertaking as to the continued availability of Content offered for sale on the Sites;
  3. once your order for Content is accepted, and you pay the fee, you acquire a non exclusive, non transferable license to view the course in its full state;
  4. ownership of the Content remains with the Seller;
  5. the Content may not be re-sold by the Buyer; and
  6. payment of the fee will be made at the time of purchase via PayPal.

You acknowledge and agree that despite Izzui’s reasonable precautions, Content may be listed at an incorrect price or with incorrect information due to a typographical error or similar oversight. In these circumstances, Izzui reserves the right to cancel or reverse a transaction, even after your order has been confirmed and a payment has been processed. If a transaction is cancelled, Izzui will immediately arrange for any payment to be refunded.
The price of the courses sold in Izzui can vary between US$0,99 and US$999,00 according to the Seller’s choice.


6. Disputes


Due to the digital nature of the Content offered for sale in Izzui, we maintain a “no refunds” policy for Content which can be previewed by the Buyers (such as audio and graphics). A Buyer may make a claim for refund if Content is one that cannot be previewed and the Buyer asserts that the Content is not as described, or is broken or is corrupt. The deadline for a Buyer making any claim is 45 calendar days after purchase. All claims must be made through PayPal.
Izzui will contact Buyer through PayPal to solve the dispute. In case the dispute is not solved, PayPal should deliberate and solve all disputes. We will verify the validity of the claim before a refund is approved.


7. Selling Content


As a User, you may not start selling Content over Izzui:

  1. Unless you create a PayPal account and verify a valid e-mail address linked to your PayPal account for receiving money from Izzui.
  2. If you reside in India. Right now, Izzui is not accepting Sellers from India due to PayPal restrictions.
  3. Unless you read, understand and agree with the conditions described in this Term.

You warrant to Izzui and each Buyer that, as a Seller, in relation to Content that you offer for sale on Izzui:

  1. you own the intellectual property rights in the Content;
  2. that Content does not infringe the intellectual property rights of a third party;
  3. that Content is not false, inaccurate or misleading;
  4. that Content is not fraudulent, stolen or an unlawful item;
  5. that Content does not violate any applicable law, statute, ordinance or regulation (including but not limited to, those governing export control, consumer protection, unfair competition, criminal law, antidiscrimination or trade practices or fair trading laws);
  6. that Content is not defamatory, unlawfully threatening or unlawfully harassing;
  7. that Content is not obscene and does not contain child pornography and does not constitute or contain material that is adult in nature or harmful to person under the age of 18 years;
  8. that Content does not contain any content that may be considered as prohibited or potentially prohibited content for the purposes of the Broadcasting Services Act 1992 (Cth);
  9. that Content does not contain viruses or other computer codes, files or programs which are designed to limit or destroy the functionality of other computer software or hardware;
  10. that Content would not create liability for Izzui or cause us to lose (in whole or in part) the services of its ISP or other suppliers; and
  11. that Content would not cause Izzui to violate any applicable law, statute, ordinance or regulation by making it available on the Service.

As a Seller, you must:

  1. ensure all copies of your Content bear a notice of ownership of the intellectual property rights in your Content;
  2. notify us of any information which may affect or assist in sales of your Content;
  3. provide us with full and accurate information regarding enhancements and new releases of your Content;
  4. act in good faith at all times and provide such assistance and co-operation as we reasonably request; and
  5. to the extent practicable, maintain registrations of all relevant intellectual property rights and of all names relating in any way to your Content.

You acknowledge and agree that any Content offered for sale by you on Sites might be submitted to Izzui to enable it to check the quality of the Content and the information provided with the Content.
The price of the courses sold in Izzui can vary between US$0,99 and US$999,00 according to the Seller’s choice.


Izzui may refuse, in its sole discretion, to allow you to offer the Content for sale on a Site. Izzui is not required to give reasons for refusing to allow you to offer Content for sale in Izzui.
You acknowledge and agree that If Izzui determines, in its absolute discretion, or is notified by a third party, that Content that you offer for sale on a Site does not comply with any applicable laws and/or these Terms, Izzui will disable your Account and withhold all amounts that you may have earned from the sale of the relevant Content.


You acknowledge and agree that Izzui may, at its sole discretion, elect at any time and for any reason to remove your Content from Izzui without notice to you. Izzui is not responsible for any loss that you may suffer as a result a Content being removed from Izzui.


Izzui is not liable for any loss suffered by you as a result of a Buyer making use of Content that you offer for sale contrary to the conditions on which the Content was sold to the Buyer.


You agree and acknowledge that Izzui may use the whole or any part of a Content which you offer for sale at the Izzui to promote the Service. This promotional use may include use on a features page on Izzui itself. No compensation is due or payable for such uses of your Content.

8. Commissions

If one or more of your Content is sold over the Service, Izzui will credit your PayPal account with the balance of the fee received from the Buyer (that is the gross fee less Izzui’s commission).


The price of the courses sold in Izzui can vary between US$0,99 and US$999,00 according to the Seller’s choice.
All commiss

ions over US$50 are paid 45 days after the purchase of Content via PayPal. Commissions under US$50 are stored until they reach the minimum amount for transfer of US$50. You authorize Izzui to collect and distribute such fees and commissions on your behalf.


Izzui is not liable for any taxes added by PayPal in when transferring money to Sellers. Please see PayPal for more information on their taxes.


If you are a Seller, Izzui will be entitled to receive a commission of an amount equal to 16% of the fee payable for each Content sold over the Services.


All commissions are calculated based on the price set on the moment of the purchase and rates may be varied by Izzui at its sole discretion, from time to time.


Any changes to the commission rates by Izzui will take effect on and from the date on which notice of the variation is posted by Izzui on the Sites.


9. User Conduct


You agree to act responsibly and to treat other Users with respect. Users also must not use the Site or the Service to harass or abuse other Users. Individuals who have demonstrably harassed other individuals may be removed from the Service or blocked from the Site.

11. Ownership


All right, title and interest in and to the Site and the Service are and will remain the exclusive property of Izzui and its licensors. QuickLessons and Izzui logos, icons and other marks identifying Izzui services or products are trademarks of Izzui and QuickLessons LLC and may not be used without prior written permission. Except as otherwise expressly set forth in these Terms, you may not copy reproduce, distribute, or create derivative works of the Service or the Site without Izzui’s express written authorization. All rights not expressly granted in these Terms are reserved to Izzui.


Izzui respects the intellectual property rights of others and expects Users of the Site to do the same. You may not post, distributed, or reproduce in any way any copyrighted material, trademarks, or other proprietary information that you do not have legal authorization to use. If you believe that through the Service your work has been copied in a way that constitutes copyright infringement, or that your intellectual property rights have been otherwise violated, please immediately notify us at support@izzui.com. Filing a notice of infringement with Izzui requires compliance with the requirements specified in Title II of the Digital Millennium Copyright Act of 1998. The text of this statute can be found at the U.S. Copyright Office web site.


12. Dealings with organizations or individuals


Izzui shall not be liable for your interactions with any organizations and/or individuals found on the Site or through the Service. This includes, but is not limited to, payment and delivery of goods and services, and any other Terms, conditions, warranties or representations associated with such dealings. These dealings are solely between you and such organizations and/or individuals. You agree that Izzui is not responsible for any damage or loss incurred as a result of any such dealings. Izzui is under no obligation to become involved in disputes between participants on the Site, or between participants on the Site and any third party. In the event of a dispute, you release Izzui, its officers, employees, agents and successors in rights from claims, damages and demands of every kind, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and our service.


13. Limitation & Termination of Service
You acknowledge that Izzui may establish limits concerning use of the Service. You agree that Izzui has no responsibility or liability for the deletion or failure to store any Content maintained or transmitted by the Service. You acknowledge that Izzui reserves the right at any time to modify or discontinue the Service (or any part thereof) with or without notice, and that Izzui shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.


You agree that Izzui in its sole discretion, has the right (but not the obligation) to delete or deactivate your account, block your email or IP address, or otherwise terminate your access to or use of the Site (or any part thereof), immediately and without notice, and remove and discard any Content within the Site, for any reason, including, without limitation, if Izzui believes that you have acted inconsistently with these Terms. Further, you agree that Izzui shall not be liable to you or any third-party for any termination of your access to the Site. Further, you agree not to attempt to use the Site or the Service after said termination.


14. Privacy & Information Disclosure


Izzui has a Privacy Policy that explains to Users how their information is collected and used. A copy of the current version of our Privacy Policy can be found at http://www.izzui.com/home/privacy. Your use of the Site or the Service signifies acknowledgement of and agreement to our Privacy Policy.


You further acknowledge that Izzui may, in its sole discretion, preserve or disclose your Content, as well as your information, such as email addresses, IP addresses, timestamps, and other User information, if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to comply with the legal process, enforce these Terms, respond to claims that any Content violates the right of third-parties; or to protect the rights, property, or personal safety of Izzui, its Users or the general public.


15. Disclaimer of Warranties


You expressly agree that use of the Site, the Service or the content is at your sole risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of files, software, services and/or any graphics or other content. The site, the service and the content are provided on an "as is" basis. Izzui, its licensors and suppliers expressly disclaim all warranties of any kind, whether express, implied, statutory or otherwise, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. Neither Izzui, nor its licensors or suppliers make any warranty that the site, the service or the content will meet your requirements, or that the site or the service will be uninterrupted, timely, secure, or error free; nor does Izzui its licensors or suppliers make any warranty as to the results that may be obtained from the use of the service or as to the accuracy, truthfulness or reliability of any information obtained through the service or that defects in the site will be corrected. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.


16. Limitations on Liability


In no event shall Izzui, its licensors or suppliers be liable to you or any third party for any indirect, incidental, special or consequential damages, resulting from the use or the inability to use the site, the service or the content, including but not limited to, damages for loss of profits, date or business opportunity, even if Izzui has been advised of the possibility of such damages. Further, Izzui shall have no liability to you or other third parties for any third party content uploaded onto or downloaded from the site. You agree that the aggregate liability of Izzui to you for any and all claims arising from the use of the site, the service or the content is limited to the amounts you have paid to Izzui, if any, for access to and use of the site, the service or the content. The limitations of damages set forth herein are fundamental elements of the basis of the bargain between Izzui and you. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages so some of the above limitations may not apply to you.


17. Indemnity

You hereby agree, at your expense, to indemnify, defend and hold Izzui harmless from and against any loss, cost, damages, liability, and/or expense arising out of or relating to (a) third party claims, actions or allegations of infringement based on information, data or content you submitted in connection with the service, (b) any fraud, manipulation or other breach of these Terms by you, or (c) third party claims, actions or allegations brought against Izzui arising out of your use of the service or the site.
